These terms (the “Terms”) govern participation in the Borumi Affiliate Program (the “Program”), operated by Spandino AB, operating as “Borumi” (“Borumi”, “we”, “us”, or “our”), c/o Federico Terzi, Prefektgatan 6, 752 57 Uppsala, Sweden. Organization number: 559540-6074. VAT number: SE559540607401.
By applying for or participating in the Program, you agree to these Terms. “Affiliate”, “you”, and “your” mean the individual or entity accepted into the Program.
You must be at least 18 years old, participate for business or professional purposes, provide accurate identity, tax, payment, and application information, disclose the channels you will use to promote Borumi, and comply with applicable laws, platform rules, and sanctions requirements.
Borumi may accept or reject an application in its discretion and may review continued eligibility and promotional activity. You must notify us before materially changing your promotional methods or using an undisclosed channel.
The Program currently uses Affonso for affiliate links, attribution, reporting, and payout administration. You may need to accept Affonso’s terms and provide information requested by Affonso or its payment providers. Borumi may replace or discontinue the affiliate platform.
You must use the affiliate links or referral identifiers provided or approved by Borumi and must not modify, obscure, replace, or interfere with their operation.
The Program currently uses a 60-day referral window, last-touch attribution, and consent-aware browser tracking. Tracking is not guaranteed. A referral may not be recorded if a visitor refuses consent, blocks or deletes browser storage, uses privacy tools, changes browser or device, clicks another eligible affiliate link, purchases after the referral window, or if the tracking technology otherwise fails.
No commission is due for a transaction that cannot reasonably be attributed through the approved tracking system. Affonso’s records and Borumi’s payment records will ordinarily determine attribution. Borumi will decide attribution and eligibility in good faith, acting reasonably, using those records and any credible information you provide promptly.
A “Qualifying Purchase” is a genuine customer’s first completed purchase of an eligible Borumi license that results from a properly tracked referral within the referral window, is successfully paid, and complies with these Terms. Self-referrals, duplicate or test transactions, resale purchases, purchases intended mainly to generate commission, fraudulent or manipulated transactions, and transactions resulting from prohibited promotion do not qualify.
The standard commission is 20% of Eligible Revenue from a Qualifying Purchase. “Eligible Revenue” means the price paid after discounts and before VAT, sales tax, or similar transaction taxes. Payment-processing fees are not deducted. Commissions are one-time and do not apply to renewals, upgrades, add-ons, future subscriptions, or separate services unless Borumi states otherwise. Borumi may agree in writing to a different arrangement with a particular Affiliate.
Each commission is subject to a 60-day hold period. Refunds, cancellations, disputes, chargebacks, fraud, tracking manipulation, or ineligible purchases may reduce or reverse a commission. Borumi may deduct a reversal from future commissions, create a negative balance, or request repayment when necessary.
Payouts are evaluated monthly in USD. A payout ordinarily requires that the hold period has passed, the commission has been approved, the approved balance has reached $50, complete payout details have been provided, and required identity, tax, sanctions, and compliance checks have been completed.
Approved balances below $50 roll over, subject to the termination rules below. Borumi may choose to include a lower approved balance in a payout cycle without waiving the threshold for any other balance or future cycle.
Payouts are currently administered through Affonso Managed Payouts using PayPal or wire transfer. Borumi will use reasonable efforts to arrange eligible payouts promptly. You are responsible for accurate payout information, an account capable of receiving USD, and recipient-side, bank, PayPal, or currency-conversion fees.
Borumi is not responsible for delays caused by missing or inaccurate information, reviews or investigations, identity or tax checks, sanctions screening, Affonso, payment providers, currency controls, or circumstances outside its reasonable control. If a payment cannot be completed, the balance may remain pending until the issue is resolved, and Borumi may require another supported payment method. A provider delay or failure does not extinguish an otherwise valid commission.
You must promote Borumi legally, honestly, and professionally. Claims must be accurate, supportable, based on current official information, and must not guarantee results, misstate pricing or features, fabricate reviews, create false urgency, or make false or derogatory claims about competitors.
Every promotion containing an affiliate link or endorsement must clearly and prominently disclose that you may earn a commission. The disclosure must appear close to the link or recommendation, in the same language as the promotion, and comply with applicable law and platform tools. For video or audio, disclose the relationship in the content and near the link in its description. You must not present paid affiliate content as independent or non-commercial.
You may promote Borumi through channels disclosed to Borumi, including your website, social-media accounts, genuine reviews, tutorials, videos, podcasts, and opt-in newsletters. Generic, non-brand paid advertising requires Borumi’s prior written approval and must direct users to substantive content you control, not directly to Borumi or an Affiliate Link.
You must not:
You are responsible for everyone acting on your behalf. If Borumi asks you to correct or remove non-compliant content, you must do so promptly.
Borumi may monitor public affiliate content and investigate complaints, unusual activity, suspected violations, and questionable referrals. You must cooperate with reasonable requests, and provide relevant information about your traffic and promotional methods.
Borumi will determine violations in good faith, acting reasonably, based on Program and payment records and credible information you provide promptly. While an investigation is pending, Borumi may suspend tracking or payouts, extend a hold period, or disable Affiliate Links.
If Borumi determines that activity was fraudulent, artificial, invalid, abusive, or contrary to these Terms, it may reject or reverse affected commissions, create a negative balance, deduct or recover amounts, suspend or terminate participation, and take reasonable protective action. Only commissions generated by, connected to, or materially affected by the conduct may be forfeited.
You must promptly tell Borumi about material complaints, suspected fraud or tracking manipulation, unauthorized use of Borumi’s brand, relevant security incidents, or content that may materially violate these Terms.
Borumi grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use Program trademarks and materials, in their approved form, solely to promote Borumi while you participate in the Program. You may proportionally resize approved assets but may not materially alter them without written permission. Spandino AB retains all ownership and goodwill, and the license ends when participation ends.
You must protect information identified as confidential or that a reasonable person would understand to be confidential and use it only for the Program. This duty does not cover information that becomes public without your breach, was lawfully known or received without restriction, was independently developed, or must be disclosed by law. Where legally permitted, you must notify Borumi before a required disclosure.
Each party is responsible for the privacy and data-protection laws applicable to its own activities. You are responsible for required privacy notices, lawful bases, consent for cookies and electronic marketing, data security, and data-subject rights. Borumi’s processing is described in the Borumi Privacy Policy; Affonso processes information under its own documentation.
You participate as an independent contractor. These Terms do not create employment, agency, partnership, franchise, fiduciary, joint-venture, or sales-representative relationship. You may not make commitments, warranties, sales, refunds, or contracts on Borumi’s behalf.
You are responsible for your expenses, insurance, registrations, taxes, VAT, social charges, declarations, and income reporting.
Either party may terminate participation at any time by written notice. You may terminate by emailing [email protected]. Borumi may suspend or terminate participation, with or without cause or prior notice, including for an actual or suspected violation, invalid activity, prohibited promotion, inaccurate information, failure to cooperate, inactivity, material risk to Borumi, or a requirement imposed by law, sanctions rules, or a service provider.
During a suspension, Borumi may disable links, pause attribution or payouts, extend hold periods, and investigate. Suspicion alone may justify suspension but does not permit forfeiture without the determination described in Section 5.
Upon termination, you must stop presenting yourself as a Borumi Affiliate and stop using Affiliate Links, Program materials, and Borumi intellectual property. Purchases completed after termination are not eligible for commissions.
Approved unpaid commissions, and pending commissions later approved, remain eligible after the applicable hold period unless connected to the breach, fraud, invalid activity, or other cause for termination. If you terminate or Borumi terminates for cause, the $50 threshold applies to the final approved balance; a balance below $50 is forfeited after pending commissions and hold periods are resolved unless Borumi waives the threshold. If Borumi terminates without cause or discontinues the Program, the threshold is waived.
Borumi may reject, withhold, reverse, or recover commissions affected by your breach, fraud, or invalid activity. Paid commissions remain subject to reversal for a later refund, chargeback, fraud, or violation affecting that commission.
Terms that by their nature should continue after termination remain effective, including payment adjustments, repayment, confidentiality, intellectual property, records, warranties, liability, indemnification, and dispute resolution.
Borumi may change, replace, suspend, or discontinue the Program, these Terms, or Program policies by posting updated Terms on this page. When these Terms are updated, Borumi will notify Affiliates via email.
Unless a later date is stated, a change takes effect when posted and applies prospectively. Referral-window and attribution changes apply only to referrals first recorded after the change. Commission and payout changes do not reduce or invalidate commissions from purchases completed before the change.
Changes required by law or sanctions requirements, or reasonably necessary to address an active security threat, fraud, or abuse, may apply immediately to the extent necessary. Continued participation after a change takes effect constitutes acceptance. If you disagree, you may terminate participation.
In this section and Section 11, the “Borumi Parties” means Spandino AB, Borumi, and their officers, employees, contractors, licensors, and service providers.
The Program, affiliate platform, tracking, reports, links, materials, and payout services are provided “as is” and “as available”. To the fullest extent permitted by law, the Borumi Parties disclaim all warranties, including accuracy, availability, reliability, error-free operation, compatibility, fitness for purpose, merchantability, title, and non-infringement. Borumi does not guarantee that the Program or any provider will remain available, that links or tracking will always work, that every referral will be attributed, or that you will earn any amount.
To the fullest extent permitted by law, the Borumi Parties are not liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, or loss of profits, revenue, business, opportunity, customers, data, goodwill, or anticipated savings, arising from the Program or these Terms, regardless of the legal theory or foreseeability.
If liability cannot be excluded, the Borumi Parties’ total aggregate liability will not exceed unpaid commissions finally determined to be properly due under these Terms when the event giving rise to the claim occurred. Your sole remedy for a commission, attribution, or payout dispute is payment of the commission properly due; no interest, lost-profit, expectation, or additional damages are payable.
Without limiting the foregoing, the Borumi Parties are not liable for failed, delayed, incomplete, or inaccurate tracking or attribution; cookies or referral information being blocked, deleted, overwritten, or unavailable; privacy settings, consent choices, device changes, referral expiry, or another affiliate’s link; third-party services; delayed, rejected, or misdirected payouts; currency conversion or recipient fees; investigations or extended holds; Program changes or termination; your promotional expenses; or expected future commissions.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
To the fullest extent permitted by law, you will indemnify and hold harmless the Borumi Parties from third-party claims, regulatory penalties, and reasonable documented legal costs to the extent caused by your material breach, unlawful or misleading promotion, missing advertising disclosure, spam, infringement of intellectual-property, privacy, or publicity rights, fraud, tracking manipulation, willful misconduct, gross negligence, or anyone acting on your behalf.
You are not responsible to the extent a claim was caused by Borumi’s instructions, materials, negligence, willful misconduct, or violation of law. Borumi will notify you reasonably promptly and provide reasonable cooperation. You may participate through your chosen counsel but may not settle in a way that admits liability by or imposes an obligation on Borumi without written approval.
These Terms are governed by Swedish law. Before starting formal proceedings, the parties will try in good faith to resolve the dispute for at least 30 days. Subject to mandatory law, disputes will be submitted to the courts of Sweden.
Any legal proceeding arising from or relating to the Program or these Terms, including a commission, attribution, or payout claim, must be commenced within one year after the event giving rise to the claim, subject to mandatory law.
You may not assign the Program or these Terms without Borumi’s written consent. Borumi may assign them as part of a merger, restructuring, financing, or transfer of its business.
Neither party is responsible for delay caused by circumstances outside its reasonable control. If a provision is invalid or unenforceable, it will be limited or removed only to the extent necessary, and the rest will remain effective. Failure to enforce a provision is not a waiver.
These Terms, any individual written commission arrangement, and applicable Program policies form the complete agreement about the Program. If translated, the English version controls to the extent permitted by law.
